These Terms of Service (“Terms”) govern your access to and use of ApiSmart, including our website, dashboard, APIs, model routing services, billing system, documentation, technical support, and any related products or services provided by NEOVATE TECHNOLOGIES PTE. LTD. (“ApiSmart,” “we,” “us,” or “our”).

By creating an account, purchasing credits, generating an API key, accessing our dashboard, or using our Services, you agree to these Terms. If you do not agree, you must not use the Services.

1. The Services

ApiSmart provides access to artificial intelligence model APIs through a unified API platform. The Services may include, without limitation:

  • API access to supported AI models;
  • OpenAI-compatible API endpoints;
  • intelligent model routing;
  • automatic fallback or failover where available;
  • usage tracking and billing;
  • developer documentation;
  • account dashboard and API key management;
  • technical support;
  • enterprise or custom API plans.

The Services are intended for developers, businesses, and professional users who need programmatic access to AI capabilities. We may add, remove, replace, suspend, or modify models, providers, endpoints, pricing, limits, technical specifications, and features at any time.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Services. If you use the Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

You may not use the Services if you are prohibited from doing so under applicable laws, sanctions, export control rules, or other legal restrictions.

3. Account Registration

To access the Services, you may need to create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and API keys.

You agree to:

  • keep your account information accurate and up to date;
  • protect your password, API keys, access tokens, and credentials;
  • notify us promptly if you suspect unauthorized access;
  • be responsible for all activity under your account or API keys.

We are not responsible for losses caused by your failure to secure your account, credentials, or API keys.

4. API Keys and Security

API keys are confidential credentials. You must not share, publish, expose, resell, or transfer your API keys to unauthorized parties.

You are responsible for all requests made using your API keys, including usage fees, whether or not such requests were authorized by you. We may suspend or revoke API keys if we detect abuse, security risks, excessive errors, suspected compromise, violation of these Terms, or unlawful activity.

5. Acceptable Use

You agree not to use the Services for any illegal, harmful, abusive, deceptive, or unauthorized purpose. Prohibited activities include, but are not limited to:

  • violating any applicable law, regulation, court order, or third-party right;
  • generating, distributing, or facilitating malware, phishing, spam, credential theft, or cyber abuse;
  • attempting to bypass security controls, access restrictions, rate limits, billing systems, or usage limits;
  • using the Services to create, distribute, or assist unlawful surveillance, impersonation, fraud, scams, or identity theft;
  • generating or distributing content that is unlawful, defamatory, harassing, hateful, sexually exploitative, or harmful to minors;
  • infringing intellectual property, privacy, publicity, or contractual rights;
  • reverse engineering, scraping, copying, or attempting to extract the underlying models, systems, source code, or non-public information of ApiSmart or its providers;
  • reselling, sublicensing, or redistributing the Services without our written permission;
  • using the Services in a way that may overload, damage, disable, impair, or interfere with our systems or third-party providers;
  • using the Services for high-risk use cases where failure could lead to death, personal injury, severe financial loss, or critical infrastructure disruption, unless you have obtained our written approval and implemented appropriate safeguards.

We reserve the right to investigate suspected violations and suspend, restrict, or terminate access where necessary.

6. Customer Content, Inputs, and Outputs

“Customer Content” means prompts, inputs, files, data, API requests, instructions, and other content that you submit to the Services. “Output” means content generated or returned by AI models through the Services.

You are responsible for your Customer Content and for how you use any Output. You represent that you have all rights, licenses, permissions, and legal bases necessary to submit Customer Content to the Services.

AI-generated Output may be inaccurate, incomplete, offensive, outdated, or unsuitable for your intended purpose. You must independently review, verify, and evaluate Output before relying on it, especially for legal, medical, financial, employment, security, safety, or other sensitive decisions.

We do not guarantee that Output will be unique, accurate, error-free, non-infringing, or appropriate for any particular purpose.

7. Third-Party Models and Providers

ApiSmart may route API requests to third-party AI model providers, infrastructure providers, cloud services, payment processors, security vendors, analytics providers, or other service providers.

You acknowledge that:

  • availability, latency, performance, model behavior, pricing, context limits, output limits, and supported features may vary by model or provider;
  • third-party providers may change, suspend, restrict, or discontinue models or features;
  • some requests may fail due to provider-side downtime, rate limits, safety systems, content filters, regional restrictions, or other technical conditions;
  • we may substitute equivalent or alternative routes when available.

We are not responsible for third-party provider decisions, model limitations, output quality, content moderation decisions, or changes outside our reasonable control.

8. Service Availability and Changes

We aim to provide a reliable API service, but we do not guarantee uninterrupted, error-free, or permanent availability of any specific model, endpoint, provider, route, region, feature, or price.

We may perform maintenance, upgrades, migrations, emergency fixes, or security actions that affect availability. Where commercially reasonable, we may provide notice for material scheduled maintenance.

We may modify, limit, suspend, or discontinue any part of the Services at any time, including where required for security, compliance, provider changes, system stability, or business reasons.

9. Billing, Credits, and Payments

The Services may be billed on a pay-as-you-go, prepaid credit, subscription, enterprise contract, or custom pricing basis.

By purchasing credits, subscribing to a plan, or using paid Services, you agree to pay all applicable fees, taxes, currency conversion costs, transaction costs, and payment processor charges.

Unless otherwise stated:

  • fees are charged based on the pricing displayed in the dashboard, order page, invoice, or applicable commercial agreement;
  • API usage is measured by our system logs and billing records;
  • credits are digital service credits and are not bank deposits, stored value facilities, securities, or cash equivalents;
  • credits have no monetary value outside ApiSmart and may not be transferred, resold, withdrawn, or exchanged for cash;
  • prices may differ by model, provider, input tokens, output tokens, request type, feature, or route;
  • we may update pricing from time to time.

You are responsible for monitoring your own usage, spending, API keys, limits, and account activity.

10. Taxes

Fees are exclusive of applicable taxes unless otherwise stated. You are responsible for any goods and services tax, value-added tax, withholding tax, sales tax, use tax, duties, levies, or similar taxes arising from your purchase or use of the Services.

Where required by law, we may collect and remit taxes. If you are required to withhold any amount from payment, you must gross up the payment so that we receive the full amount owed, unless prohibited by law.

11. Refunds

Refunds are governed by our Refund Policy, which forms part of these Terms.

Because ApiSmart provides digital, API-based, consumption-based services, all payments are generally final once credits are delivered, a plan is activated, or usage begins.

If the relevant AI services, API endpoints, or available equivalent routes are operating normally, payments are not refundable merely because you changed your mind, no longer need the Services, did not use the credits, selected the wrong model, configured your integration incorrectly, were dissatisfied with AI-generated Output, or expected a different result.

12. Fair Use, Rate Limits, and Abuse Prevention

We may apply rate limits, usage limits, concurrency limits, spending limits, request size limits, token limits, model access limits, or other technical controls.

We may throttle, reject, delay, block, or reroute requests where necessary to protect system stability, prevent abuse, comply with provider rules, manage costs, or enforce these Terms.

Excessive failed requests, abnormal traffic patterns, suspected automation abuse, security risks, or attempts to bypass restrictions may result in account suspension or termination.

13. Intellectual Property

ApiSmart and its licensors own all rights, title, and interest in the Services, including the website, platform, dashboard, software, documentation, APIs, designs, logos, trademarks, trade names, systems, and related technology.

These Terms do not transfer any ownership rights to you. You receive only a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works based on any part of the Services, except as permitted by applicable law or with our written permission.

14. Feedback

If you provide suggestions, ideas, bug reports, improvement requests, or other feedback, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use, modify, commercialize, and incorporate such feedback without restriction or compensation.

15. Confidentiality

You may receive non-public information from us, including technical, commercial, pricing, security, roadmap, or business information. You must keep such information confidential and use it only for the purpose of using or evaluating the Services.

This obligation does not apply to information that is publicly available, already known to you without confidentiality obligations, independently developed by you, or lawfully received from a third party.

16. Privacy

Our collection and use of personal data are described in our Privacy Policy. By using the Services, you acknowledge that we may collect, use, disclose, process, and transfer personal data as described in the Privacy Policy.

17. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services immediately if:

  • you violate these Terms;
  • your payment fails or is disputed;
  • you create security, legal, financial, reputational, or operational risk;
  • your usage may harm ApiSmart, our users, third-party providers, or the public;
  • we are required to do so by law, court order, regulator, payment processor, or provider;
  • your account is inactive for an extended period;
  • you attempt to bypass billing, rate limits, compliance controls, or security systems.

You may stop using the Services at any time. Termination does not relieve you of payment obligations incurred before termination. Unused credits, active plans, or remaining service periods are non-refundable unless expressly required by law or approved under our Refund Policy.

18. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.

We do not warrant that:

  • the Services will meet your requirements;
  • any model will remain available;
  • any Output will be accurate, lawful, complete, safe, or suitable;
  • errors or defects will be corrected;
  • the Services will be free from downtime, delays, vulnerabilities, or harmful components.

19. Limitation of Liability

To the maximum extent permitted by law, ApiSmart, its directors, officers, employees, contractors, affiliates, agents, licensors, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, data, savings, or opportunity.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amount you paid to ApiSmart for the Services giving rise to the claim during the three months immediately before the event giving rise to liability.

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

20. Indemnification

You agree to indemnify and hold harmless ApiSmart, its directors, officers, employees, contractors, affiliates, agents, licensors, and providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or relating to:

  • your use of the Services;
  • your Customer Content or Output usage;
  • your violation of these Terms;
  • your violation of applicable laws or third-party rights;
  • your products, services, customers, or end users;
  • unauthorized use of your account or API keys.

21. Export Controls and Sanctions

You must comply with all applicable export control, sanctions, and trade compliance laws. You may not use the Services in, or for the benefit of, any country, region, person, entity, or end use prohibited by applicable sanctions or export control rules.

We may restrict access where required by law or by our providers.

22. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website or dashboard with a revised “Last Updated” date.

Your continued use of the Services after changes become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of Singapore, unless otherwise required by applicable law.
